According to forecasts, the number of people over 65 will increase by around 40% to more than 900,000 by 2050. Furthermore, more than half of the nursing staff are now retired, and their share of society is constantly growing.<\/em><\/p>\n<p style=\u201cfont-weight: 400;\u201d><em>The Senior Citizens&#8217; Council of the Greater Region, which is supported by committed senior citizens and the administrations of the Greater Region, has set itself the goal of improving the living conditions of senior citizens in the Greater Region. The image of old age, which is usually associated with frailty and physical and mental limitations, is to be changed through project work and the positive aspects of old age are to be brought to the fore. The Senior Council&#8217;s project also aims to enhance and promote the work of family caregivers and volunteers in the Greater Region.<\/em><\/p>\n<p style=\u201cfont-weight: 400;\u201d><em>As part of the cross-border cooperation between more than 20 partners from the Greater Region &#8211; found through the Interreg program &#8216;Senior activ&#8217; &#8211; numerous offers are made, measures are developed and implemented to positively influence the impending loss of independence of seniors. Central topics include the technical equipment and structural adaptation of apartments, the avoidance of social isolation and loneliness, as well as professional support and care. In addition, these measures are intended to contribute to a broader range of prevention and health services and to a stronger network of full-time and voluntary experts working with senior citizens in the Greater Region.<\/em><\/p>\n<p style=\u201cfont-weight: 400;\u201d><em> <\/em>Senior Council of the Greater Region a.s.b.l.<\/p>\n<h2 style=\u201dfont-weight: 400;\">< strong>Articles of association<\/strong><\/h2>\n<p style=\u201cfont-weight: 400;\u201d><em>Between the signatories and all those who may be admitted later, a non-profit association has been established, governed by the present statutes and the amended law of August 7, 2023 on non-profit associations and foundations.<\/em><\/p>\n<p><h 3 style=\u201cfont-weight: 400;\u201d><em> <\/em>Title I \u2013 Name \u2013 Registered office \u2013 Duration<\/h3>\n<p style=\u201dfont-weight: 400;\u201c><strong style=\u201dfont-style: inherit; font-family: var( --e-global-typography-text-font-family ), Sans-serif; text-align: var(--text-align);\"> Art. 1 \u2013 <\/strong>The association bears the name \u201cConseil des Seniors de la Grande Region asbl\u00bb (Senior Council of the Greater Region a.s.b.l.). (CSGR).<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 2 &#8211; <\/strong>Its registered office is in Schengen. It may be transferred to any other location in the Grand Duchy of Luxembourg by decision of the Board of Directors.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 3 &#8211; <\/strong>The duration of the association is unlimited.<\/p>\n<h3 style=\u201cfont-weight: 400;\u201d><strong>Title II &#8211; Purpose<\/strong><\/h3>\n<p style=\"font-weight: 40 0;\u201c><strong style=\u201dfont-style: inherit; font-family: var( --e-global-typography-text-font-family ), Sans-serif; text-align: var(--text-align);\u201c>Art. 4 &#8211; <\/strong>The purpose of the association is to promote the well-being of older people (seniors) in the Greater Region, to strengthen the participation of seniors in society, to address the problems arising in the Greater Region together and to exchange best practices.<\/p>\n<p style=\u201dfont-weight: 400;\">The association can establish or take over any establishment, institution or work, acquire any movable or immovable property necessary for the realization of the purpose or purposes for which it was established, and carry out any generally arbitrary acts that may directly or indirectly contribute to the realization of its purpose, provided that it remains within the limits of the law of August 7, 2023 on non-profit associations and foundations and all other legal provisions and regulations applicable to them.<\/p>\n<p style=\u201cfont-weight: 400;\u201d>The association may merge with other associations or organizations that pursue similar purposes and correspond to the objectives of this association, or form an association, provided that this cooperation enables it to better carry out its activities and promote the interests of its cause vis-\u00e0-vis third parties.<\/p>\n<p style=\u201d font-weight: 400;\u201c>Another objective of the association is to promote scientific research and measures in the areas that are part of its main activity and related activities.<\/p>\n<p style=\u201dfont-weight: 400;\u201c>These include, among other things:<\/p>\n<p style=\u201dfont-weight: 400;\">\u2022 Hearings of experts and stakeholders<\/p>\n<p style =\u201cfont-weight: 400;\u201d>promote the active participation of older persons in all aspects of society,<\/p>\n<p style=\u201cfont-weight: 400;\u201d>generally take appropriate account of personal concerns,<\/p>\n<p style=\u201cfont-weight: 400;\u201d>represent seniors directly and authentically,<\/p>\n<p style=\"font-weight: 400; promote the exchange of experience and expertise with the aim of achieving equal living conditions.<\/p>\n<h3 style=\u201cfont-weight: 400;\u201d><strong>Title III \u2013 Members and categories of members<\/strong><\/h3>\n<p style=\u201cfont-weight: 400;\u201d><strong> <\/strong><strong>Art. 5 \u2013 <\/strong>The association consists of members and honorary members. Members can be legal entities under private or public law or natural persons. The number of members must not be less than two.<\/p>\n<ul>\n<li>Members who are legal entities are organizations of older people or organizations that act for the benefit of older people from the five regions of the Greater Region, which include Saarland, Rhineland-Palatinate, part of the Grand Est region, Wallonia and Luxembourg.<\/li>\n<\/ul>\n<p style=\"font-weight: 4 00;\">The assembly will ensure that a balance is maintained between the different regions.<\/p>\n<ul>\n<li>The members, who are natural persons, are elected representatives or members of organizations by or for older people who are active in the Greater Region.<\/li>\n<li>Honorary members are proposed by the members on the basis of their professional skills or social commitment to older people.<\/ <\/li>\n<\/ul>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 6 &#8211; <\/strong>Any member can resign at any time by notifying the association in writing.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 7 &#8211; <\/strong>Membership is terminated if the membership fee is not paid. The modalities are set out in the rules of procedure.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 8 &#8211; <\/strong>The General Assembly may decide to expel a member for serious misconduct. The General Assembly is sovereign in its decision; the member must have had the opportunity to defend itself.<\/p>\n<h3 style=\u201cfont-weight: 400;\u201d><strong>Title IV &#8211; Contributions<\/strong><\/h3>\n<p style=\u201cfont-weight: 400;\u201d><strong> <\/strong><strong>Art. 9 &#8211; <\/strong>Each member has an annual fee , which is determined each year by the General Assembly.<\/p>\n<p style=\u201cfont-weight: 400;\u201d>For members, this contribution may not exceed \u20ac100 for natural persons and \u20ac500 for legal entities.<\/p>\n<p style=\u201cfont-weight: 400;\u201d>For honorary members, this contribution may not exceed \u20ac50 .<\/p>\n<h3 style=\u201cfont-weight: 400;\u201d><strong>Title V \u2013 General Assembly<\/strong><\/h3>\n<p style=\u201cfont-weight: 400;\u201d><strong> <\/strong><\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 10 \u2013 <\/strong>The General Assembly is composed of all members. It has a quorum when at least one representative per region is present or represented.<\/p>\n<p style=\u201cfont-weight: 400;\u201d>Honorary members have no voting rights, but they do have the right to speak at the meetings.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 11 &#8211; <\/strong>The General Assembly is the supreme body of the association. It has the powers expressly recognized by law or by these statutes.<\/p>\n<p style=\u201cfont-weight: 400;\u201d>Its jurisdiction includes in particular<\/p>\n<ul>\n<li>amendments to the statutes ;<\/li>\n<li>approval of the rules of procedure and their amendments ;<\/li>\n<li>appointment and dismissal of members of the Board of Directors;<\/li>\n<li>appointment of one or more auditors<\/li>\n<li>approval of the annual accounts and budgets ;<\/li>\n<li>approval of the report of the treasurer and the auditor ;<\/li>\n<li>approval of the annual report of the Board of Directors;<\/li>\n<li>discharge of the members of the Board of Directors and the treasurer;<\/li>\n<li>setting the annual subscription fee ;<\/li>\n<li>decisions on proposals to the assembly ;<\/li>\n<li>exclusion of members after hearing the board of directors;<\/li>\n<li>voluntary dissolution of the<\/li>\n<\/ul>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 12 &#8211; <\/strong>At least one ordinary general assembly shall be held each year, usually in June. The General Assembly is convened by the President by letter or electronically to each member at least fifteen days before the meeting. The agenda is indicated in the invitation.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 13 &#8211; <\/strong>The association may at any time be convened by a decision of the Board of Directors to an extraordinary General Assembly. It must be convened at the request of at least one-fifth of the members. Each meeting shall be held on the date, at the time and place specified in the notice of the meeting. All full members must be invited. The General Assembly may also be held by electronic means.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 14 &#8211; <\/strong>Members may be represented by another member of the association.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 15 &#8211; <\/strong>Resolutions are adopted by a majority of the votes present or represented.<\/p>\n<p style=\"font -weight: 400;\u201c><strong>Art. 16 &#8211; <\/strong>The General Assembly may only validly decide to amend the statutes or dissolve the association under the conditions provided for by the amended law of August 7, 2023 on non-profit associations.<\/p>\n<p style=\u201dfont-weight: 400;\">In the event of dissolution of the association, the General Assembly appoints the liquidator(s) and determine their powers.<\/p>\n<p style=\u201cfont-weight: 400;\u201d>In the event of dissolution, the assets of the association will be allocated to causes that are consistent with the purpose of the association and for the benefit of the elderly.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 17 &#8211; <\/strong>The decisions of the General Assembly are recorded in a minute book signed by the Chairman and a proxy. This register is kept at the company&#8217;s registered office, where all members can read it, but without moving the register. Any member may request extracts from the minutes.<\/p>\n<h3 style=\u201cfont-weight: 400;\u201d><strong>Title VI &#8211; Board of Directors<\/strong><\/h3>\n<p style=\u201cfont-weight: 400;\u201d><strong style=\"font-style: inherit; font-family: var( --e-global-typography-text-font-family ), Sans-serif; text- align: var(--text-align);\u201c>Art. 18 &#8211; <\/strong>The Board of Directors is vested with the most extensive powers for the administration and management of the association. Only the actions reserved for the General Assembly by law or by these statutes do not fall within its competence.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 19 &#8211; <\/strong>The Board of Directors elects from among its members a chairperson, four deputy chairpersons, a treasurer and a secretary. The Chairperson and the Vice-Chairpersons must come from different regions. The offices of treasurer and secretary may be combined with those of the chair or deputy chair.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 20 \u2013 <\/strong>The General Assembly shall determine the number of members of the Board of Directors, which may not, however, exceed 20.<\/p>\n<p>< p style=\u201cfont-weight: 400;\u201d>Equality between the regions should be maintained as far as possible.<\/p>\n<p style=\u201cfont-weight: 400;\u201d>Each country or region proposes 1\/5 of the members of the Board of Directors from among its members.<\/p>\n<p style=\u201cfont-weight: 400;\u201d>The term of office of the Board of Directors is five years. The term of office is renewable. The initial term of office is 5 years.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 21 &#8211; <\/strong>A meeting of the Board of Directors must be convened at the request of \u00bc of the members of the Board of Directors; the applicants shall indicate the items they wish to place on the agenda.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 22 &#8211; <\/strong>In the absence of the Chairman, his duties shall be carried out by one of the four Vice-Chairmen or, in their absence, by the most senior member present.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 23 &#8211; <\/strong>The Board of Directors shall constitute a quorum only if a majority of the members of the Board of Directors are present or represented. Its resolutions shall be adopted by a majority of the votes present or represented; in the event of a tie, the Chairman or his representative shall have the casting vote.<\/p>\n<p style=\u201cfont-weight: 400;\u201d>For the purposes of calculating the quorum and the required majority, those members of the Board of Directors who participate in the meeting of the Board of Directors by videoconference or by means of telecommunications that allow their identification.<\/p>\n<p style=\u201cfont-weight: 400;\u201d>In exceptional and duly justified cases, decisions of the Board of Directors may be taken by unanimous written consent of the members of the Board of Directors <\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 24 &#8211; <\/strong>The Board of Directors may, on its own initiative or at the request of the members, set up working groups to deal with specific topics of current interest related to the purpose of the association. These working groups are composed of persons appointed by the members of the association.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 25 &#8211; <\/strong>The members of the Board of Directors do not enter into any personal obligations as a result of their office and are only responsible for fulfilling their mandate. This is generally an honorary position. This does not affect the reimbursement of expenses. The rules of procedure shall determine the details.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 26 &#8211; <\/strong>Members of the Board of Directors may be dismissed by the General Meeting for serious reasons by a majority of three quarters of the members present or represented, the member having been heard in his or her defense.<\/p>\n<h3 style=\u201cfont-weight: 400;\u201d><strong>Title VII &#8211; The Executive Board<\/ strong><\/h3>\n<p style=\u201cfont-weight: 400;\u201d><strong> <\/strong><strong style=\u201cfont-style: inherit; font-family: var( --e-global-typography-text-font-family ), Sans-serif; text-align: var(--text-align);\u201d>Art. 27 &#8211; <\/strong>The Board consists of the President, the four Vice-Presidents, the Secretary and the Treasurer.<\/p>\n<p style=\u201dfont-weight: 400;\"><strong>Art. 28 &#8211; <\/strong>The Board is responsible for the day-to-day administration of the association: The rules of procedure shall govern the details.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 29 &#8211; <\/strong>The board of directors shall meet upon written invitation of the chairperson or, in his\/her absence, one of the deputy chairpersons.<\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong>Art. 30 &#8211; <\/strong>The association is legally bound to third parties by the joint signature of two members of the committee, without the latter being required to prove their identity by means of a resolution, authorization or other special power.<\/p>\n<p style=\u201cfont-weight: 400;\u201d>Legal proceedings, both actions and defences, are initiated or supported solely in the name of the association.<\/p>\n<h3 style=\u201cfont-weight: 400;\u201d><strong>Title IX &#8211; Miscellaneous provisions<\/strong><\/ h3><\/p>\n<p style=\u201cfont-weight: 400;\u201d><strong> <\/strong><strong style=\u201cfont-style: inherit; font-family: var( --e-global-typography-text-font-family ), Sans-serif; text-align: var(--text-align);\u201d>Art. 31 &#8211; <\/strong>The financial year is the calendar year.<\/p>\n<p style=\u201dfont-weight: 400;\"><strong>Art. 32 &#8211; <\/strong>Anything not expressly provided for in these statutes shall be governed by the amended law of August 7, 2023 on non-profit associations.<\/p>\n<p style =\u201cfont-weight: 400;\u201d><strong>Art. 33 &#8211;
